You may not reproduce, distribute, publicly display, publicly perform, modify, adapt, translate, reverse engineer, decompile, disassemble, or create derivative works based on the Site or its content without our express written permission. 3.5 Reservation of Rights. USER SUBMISSIONS & FEEDBACK 5.1 No Unsolicited Submissions. We do not accept unsolicited ideas, suggestions, concepts, or materials ("Submissions") related to products, services, features, or business strategies. Some jurisdictions do not allow limitation of liability for certain types of damages. We reserve the right to assume exclusive control and defense of any matter subject to indemnification by you, at your expense. GOVERNING LAW & DISPUTE RESOLUTION 15.1 Governing Law. These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws principles. For any disputes not subject to arbitration: • You agree to the exclusive jurisdiction of the state and federal courts located in Delaware, United States • You agree that exclusive venue is in Delaware • You irrevocably waive any objection to venue in Delaware, including inconvenient forum 15.3 Informal Resolution. For disputes exceeding $10,000, we may elect binding arbitration under the American Arbitration Association (AAA) Commercial Arbitration Rules. The arbitration will be seated in Delaware, conducted in English, and governed by the Federal Arbitration Act. 15.5 Class Action Waiver. TO THE EXTENT PERMITTED BY LAW, YOU WAIVE THE RIGHT TO BRING CLAIMS AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.
